What is a company secretary?
A company secretary is a trusted officer of a company’s board of directors with responsibility for
ensuring compliance with the Companies Act and for supporting the way in which the company is
steered and governed by its directors.
A company secretary’s typical role might include preparing and filing documents at Companies
House (the registry which holds records of all companies in the UK), preparing agendas and papers
for board meetings, attending board meetings and drafting the meeting minutes afterwards,
advising directors on matters of company law or corporate governance best practice, preparing
communications to shareholders and organising the company’s AGM.
The company secretary will also typically play a key role in major corporate transactions such as
acquisitions, bank refinancings or capital raises. It is a diverse and interesting professional role
which promises opportunities to work with the most senior individuals within an organisation.

Role overview
Working with your colleagues and a range of clients from the private and listed sectors, over time in
this varied role you will:
- support our clients’ businesses by accurately maintaining their statutory records and
completing their Companies House filings on time
- ensure our clients’ compliance needs are met, including the requirements of the London Stock
- Exchange listing rules, market abuse regulations and Companies Act
- provide assistance to our clients’ boards by preparing agendas, and producing and distributing
board papers
- learn the skills of minuting formal meetings, with early opportunities to attend client board and
committee meetings to support experienced colleagues
- assist on a wide range of transactions and projects, from changes to a company’s structures
and board to complex corporate actions
- contribute flexibly to our team, taking advantage of the opportunities you will be given to
stretch yourself and learn new skills and knowledge.

Skills and experience
We are looking for someone with the following skills, experience and qualifications:
- numerate and able to prepare written work, to the highest standard
- an eye for detail and an ability to work accurately
- computer literate with a good working knowledge of MS Office, specifically Word, Excel and
PowerPoint, and a willingness to acquire proficiency in Adobe Acrobat and our specialist entity
management and board portals
- educated to at least A Level (or equivalent) standard. A degree, particularly in law, would be
beneficial but we are more interested in your enthusiasm to develop your career in corporate
governance than your existing knowledge of company law
- we are a client-facing business and therefore experience of working in a customer-focussed
role would be beneficial.
