We are partnering with a leading international business in the media sector to appoint a Senior Manager / Director, Corporate Governance. The business is private equity backed with considerable growth plants, and this newly created role will play a part in managing their growth successfully. The role will offer the opportunity to build and enhance governance frameworks, and work closely with senior leadership to support the organisation’s continued growth and strategic development. The role will span across company secretarial, corporate governance, compliance, insurance governance and strategic projects. You’ll take ownership of the organisation’s governance framework, support Boards across multiple jurisdictions while leading the continued development of governance processes and best practice. Key responsibilities
- Leading corporate governance across a complex international group, ensuring statutory compliance and effective governance practices across multiple jurisdictions.
- Managing the full Board and Committee cycle, including governance calendars, agendas, board packs, minutes, action tracking and corporate records.
- Overseeing statutory registers, corporate filings, director appointments, delegated authorities and legal entity governance.
- Developing and embedding governance frameworks, policies, approval matrices, governance registers and decision-making protocols.
- Leading the Group’s risk governance framework, including enterprise risk reporting, regulatory monitoring and governance across areas such as data protection, sanctions compliance and internal controls.
- Owning the Group’s insurance governance programme, coordinating renewals, policy management, claims oversight and stakeholder engagement with brokers and internal teams.
- Supporting ESG initiatives, governance aspects of acquisitions and integration projects, investor-related governance and wider strategic business initiatives.
- Building strong relationships with senior stakeholders across Legal, Finance and Operations, providing trusted governance advice and support.
- Managing and developing a Legal / Company Secretarial Assistant, overseeing priorities, workload and professional development.
What We’re Looking For:
Essential:
- Proven experience in a Company Secretarial or Corporate Governance role within a multi-entity organisation.
- Strong knowledge of UK company law, statutory compliance and corporate filings.
- Experience supporting Boards, including preparation of board packs, minutes and end-to-end governance cycles.
- Demonstrable experience improving or developing governance frameworks, policies and processes in a fast-paced or evolving environment.
- Experience managing or overseeing junior governance or legal support staff in a collaborative team environment.
- Exposure to broader governance areas such as risk, compliance and/or insurance governance, including coordination with external stakeholders and the ability to influence senior audiences.
- Comfortable operating autonomously and building structure in a newly created or developing function.
Highly desirable:
- Experience within a private equity-backed or similarly complex ownership environment, with exposure to senior stakeholder management.
- International subsidiary governance experience.
- Exposure to enterprise risk management, ESG and/or M&A integration activity in a dynamic environment.
- Experience supporting insurance renewals and claims processes in a multi-entity group.
- CGIUKI qualification or equivalent governance experience.
