Company Secretarial Assistant

The Opportunity
An excellent opportunity for an aspiring governance professional looking to build their career within a listed company environment and gain broad exposure across plc governance, subsidiary management, shareholder matters and share schemes.
Working closely with the Company Secretary and wider legal and governance teams, you’ll join an established international business and gain hands-on involvement across a varied range of company secretarial responsibilities.
This could be particularly well suited to someone with up to three/four years’ Company Secretarial experience who has developed a solid grounding within a professional services, private company or non-listed environment and is now looking to gain their first meaningful exposure to plc governance.
For someone undertaking their CGI qualifications and looking to accelerate their development, this represents a fantastic next step.
What You’ll Be Doing
The role offers plenty of variety, with responsibilities including:
- Supporting the management of dividend processes
- Assisting with the preparation, publication and distribution of the Annual Report
- Managing statutory requirements across a portfolio of UK and international subsidiary companies
- Maintaining statutory records, registers and Companies House filings
- Maintaining and developing group entity information using Diligent Entities
- Supporting compliance with the UK Companies Act and relevant listed-company regulatory requirements
- Assisting with the preparation and release of regulatory announcements
- Supporting compliance with internal share dealing requirements, including the maintenance of insider and confidentiality lists
- Responding to shareholder queries and liaising with external registrars
- Preparing corporate authorisations, including powers of attorney, notarisation and legalisation
- Supporting the administration of employee and executive share plans
- Maintaining relevant governance information across the corporate website
- Supporting the wider Company Secretarial team with ad hoc governance and corporate projects
About You
We’re looking for someone with a good grounding in Company Secretarial work who is keen to broaden their experience and develop within a listed environment.
You’re likely to have up to three/four years’ experience, potentially gained within professional services, an accountancy or law firm, or an in-house governance team within a non-listed organisation.
You’ll ideally be undertaking, or have an interest in undertaking, the CGI qualification, although practical experience and a genuine enthusiasm for developing a career in governance are equally important.
You’ll also be:

- A confident and personable communicator
- Comfortable managing multiple deadlines and priorities
- Interested in developing your knowledge of plc governance and the listed environment
