Key Responsibilities
- Lead the Group Secretariat function, driving best-in-class corporate governance and regulatory compliance.
- Act as trusted adviser to the Board and senior executives on governance, listed company obligations and strategic initiatives.
- Oversee Board and Committee processes, including papers, agendas, minutes and governance frameworks.
- Manage compliance with UK listing requirements, market disclosure obligations and global corporate governance standards.
- Lead subsidiary governance across an international entity structure.
- Support Annual Report, AGM and strategic corporate projects involving sensitive and confidential matters.
- Develop and mentor a high-calibre Secretariat team and manage external advisers.
Key Skills & Experience
- Significant senior Company Secretariat experience within a FTSE 100 or equivalent global listed organisation.
- Deep expertise in UK corporate governance, listed company regulation and board operations.
- Strong understanding of UK Companies Act, Listing Rules, Disclosure & Transparency requirements and Market Abuse Regulation.
- Experience supporting complex international group structures and multi-jurisdictional entities.
- Proven ability to influence senior stakeholders, including Board members and Executive Committees.
- Expertise with governance technologies, including Diligent platforms.
