Overview
We are partnering with a fast-growing UK private business looking for a Company Secretary in a newly created role following rapid growth over the past two years. This role will be a new addition to the legal team.
Key Responsibilities
- Develop and maintain governance frameworks, policies and procedures, ensuring compliance with regulatory requirements and corporate governance best practice.
- Provide governance support and strategic advice to Boards, Committees and senior stakeholders, including the management of meetings, governance reporting and decision-making processes.
- Ensure compliance with statutory and regulatory obligations, including corporate record management, Companies House filings and governance documentation.
- Lead director appointment and induction processes while supporting Board effectiveness, governance planning and organisational accountability.
- Oversee governance systems, reporting and continuous improvement initiatives, monitoring legal, regulatory and ESG developments to enhance governance practices across the organisation.
What we’re looking for
Skills & Experience
- Qualified Company Secretary, or equivalent governance, legal or compliance background.
- Demonstrable Company Secretarial experience within a multi-jurisdictional environment.
- Extensive knowledge of UK corporate governance requirements and the Companies Act.
- Experience establishing Boards, Committees and governance systems from scratch.
- Strong experience with digital governance or Board management platforms.
- Previous involvement in M&A, restructures or corporate transactions.

- Confident and credible when advising senior stakeholders and Board members.
- Discreet and comfortable handling highly confidential information.
- Proactive, pragmatic and solutions-focused, with a strong commitment to continuous improvement.
