We have been instructed by a leading financial services organisation to appoint a Senior Company Secretary to join its UK Corporate Governance Office.
This is a high-profile role providing internal and corporate governance advice to the business, with responsibility for supporting governance best practice across the Group and acting as a key liaison between the Group’s international and UK governance functions.
Key Responsibilities
- Provide corporate and internal governance advice to the business, including on the Listing Rules, DTRs, MAR and UK Corporate Governance Code.
- Act as Secretary and adviser to one or more Board-level Committees, building effective relationships with senior management and Executive and Non-Executive Board members.
- Lead the Corporate Governance Office contribution to the annual report and financial statements programme for the ring-fenced bank and holding company.
- Deputise for the Head of Corporate and Internal Governance.
- Lead corporate governance aspects of new business initiatives, projects and legislative or regulatory developments.
- Monitor relevant legal and regulatory developments and ensure policies remain up to date.
- Line manage and develop members of the Internal Governance Team.
- Oversee the consistent application of governance workflow and meeting management systems across the business.
What we’re looking for
Skills & Experience
- At least 7 years’ experience working as a Company Secretary within a listed or financial services business.
- Strong practical knowledge of corporate governance, including the Companies Act 2006, UK Corporate Governance Code, PRA/FCA governance requirements and Listing Rules.
- Experience working effectively within a busy corporate governance or secretariat function.
- Experience working in a regulated environment, ideally financial services.
- CGI Affiliate, Associate or Fellow membership, or equivalent.
- Strong written communication and attention to detail, with excellent organisational skills and the ability to manage competing priorities.
- Line management experience, with the ability to mentor and develop junior team members.

- Positive, collaborative and able to build effective relationships across the organisation.
- Pragmatic and able to work effectively under pressure and to tight deadlines.
