London | Hybrid | 12-Month Fixed-Term Contract
We are partnering with a leading UK listed company to recruit an experienced Group Company Secretary on a 12-month fixed-term contract to cover maternity leave. Reporting to the Group Chief Financial Officer, this is a pivotal leadership role at the heart of the organisation’s governance framework. You’ll act as a trusted adviser to the Board and senior leadership team, ensuring the highest standards of corporate governance, statutory compliance and regulatory reporting, while leading on shareholder engagement, annual reporting and company secretarial activities across the Group.
This role offers broad exposure across governance, corporate transactions and strategic projects within a well-established listed business.
Key Responsibilities
- Act as a trusted adviser to the Board, Chair, Committees and senior leadership on corporate governance, regulatory and risk matters.
- Lead the planning and delivery of Board and Committee meetings, including agendas, papers, minutes and action tracking, while managing Board evaluations, director induction programmes and governance frameworks.
- Ensure compliance with the Companies Act, UK Listing Rules, the UK Corporate Governance Code, UK MAR and other regulatory requirements, maintaining statutory records, regulatory filings and share dealing obligations.
- Lead the governance elements of the Annual Report, coordinating disclosures, timetables and external advisers.
- Oversee subsidiary governance, corporate structures and statutory compliance, while supporting M&A, restructurings and other strategic projects.
- Coordinate shareholder communications, the AGM and wider investor governance activities, acting as a key governance contact for external stakeholders.
- Oversee the governance and administration of executive share schemes, supporting the Remuneration Committee as required.
- Coordinate the Group’s annual insurance renewal process, working with brokers and internal stakeholders.
What We’re Looking For
- Qualified Chartered Governance Professional/Company Secretary (or equivalent qualification recognised under the Companies Act 2006).
- Significant UK listed plc company secretarial experience gained at a senior level.
- Strong knowledge of UK corporate governance, statutory and regulatory requirements within a listed company environment.
- Experience advising Boards and senior executives with the confidence and gravitas to influence at executive level.
- Excellent organisational, stakeholder management and communication skills.
- Strong attention to detail, discretion and the ability to manage confidential information.
- Comfortable using technology and governance systems to deliver efficient company secretarial processes.
