Deputy Company Secretary – Bristol

We have partnered with a renowned financial services organisation who are looking for a Deputy Company Secretary to join their team on a permanent basis.

Reporting to the Chief Legal Officer & Company Secretary, this is a pivotal role at an exciting point in the organisation’s evolution. The successful candidate will act as a true deputy, providing hands-on governance leadership, supporting Board and Committee activity, and helping shape governance arrangements as the business undergoes significant transformation.

This is an opportunity to join a trusted and well-established financial services brand that is investing heavily in technology, modernising its governance framework and preparing for future strategic outcomes. The role offers exposure to senior leadership, the Board and Executive Committee, with the opportunity to drive meaningful change across the organisation.

Key Responsibilities:

  • Lead the delivery of Board and Committee governance, ensuring high-quality papers, accurate minutes, effective decision-making and strong governance practices.
  • Act as a trusted adviser to the Chief Legal Officer & Company Secretary, serving as an extension of the function and providing proactive support across governance matters.
  • Take ownership of Board, Committee and regulatory meeting minutes, ensuring exceptional quality and attention to detail.
  • Provide pragmatic advice on corporate governance, regulatory requirements and director responsibilities.
  • Support the ongoing evolution of governance frameworks to ensure they remain proportionate, effective and aligned to the organisation’s strategic objectives.
  • Ensure compliance with statutory, regulatory and corporate governance obligations, including entity management and annual reporting requirements.
  • Support major transformation initiatives, including technology, risk and governance change programmes, ensuring appropriate governance oversight and decision-making structures.
  • Build strong relationships with Board members, Executive Committee members and senior stakeholders, helping raise awareness and understanding of governance best practice across the business.
  • Manage and develop a team of two Assistant Company Secretaries, contributing to a high-performing Company Secretariat function.

Candidate Profile:

We are seeking an experienced Deputy Company Secretary from a regulated financial services environment who is comfortable operating at Board and Executive level and enjoys taking ownership.

The successful candidate will bring:

  • Significant Company Secretariat experience, including direct support to Boards and Committees.
  • Strong minute-taking and drafting skills, with the ability to capture complex discussions accurately and succinctly.
  • Experience operating within complex, changing or transforming organisations.
  • Strong understanding of corporate governance, regulatory frameworks and Board effectiveness.
  • Confidence to work independently, anticipate issues and drive activity forward without close supervision.
  • Excellent stakeholder management skills, with the ability to influence, challenge constructively and build trusted relationships.
  • A collaborative, communicative and team-oriented approach, keeping stakeholders informed and avoiding surprises.
  • Strong professional judgement, integrity and commercial awareness.
  • An interest in technology, AI-enabled ways of working and governance modernisation.
  • Exposure to listed company governance and/or significant corporate transactions would be advantageous.
