We are partnering with a well-renowned FTSE 250 wealth management business to appoint a newly created Deputy Company Secretary, reporting into an exceptional Group Company Secretary based in London. The organisation is currently going through a major transformation, and this role will be instrumental in advising senior leadership on all areas of corporate governance. You will lead the team and oversee the full company secretarial function within a dynamic and fast-paced FTSE 250 environment. This is a significant position that requires experience managing high-performing teams, delivering exceptional service, and the confidence to deputise for the Group Company Secretary when required. Key role and responsibilities
- Leading and managing the Company Secretariat team, ensuring delivery of a high-quality, responsive service to the business and wider stakeholders
- Deputising for the Group Company Secretary and supporting across all Board and governance matters
- Acting as Secretary to Board Committees and supporting the Board and Group Company Secretary on Board meetings
- Overseeing the company secretarial input into the Annual Report, including corporate governance and remuneration disclosures and related shareholder communications
- Overseeing the planning, project management and execution of the AGM and other shareholder meetings
- Ensuring ongoing compliance with Market Abuse Regulation, insider lists and listed company regulatory requirements
- Leading company secretarial involvement in corporate actions including restructurings, acquisitions, disposals and simplification projects
- Overseeing employee and discretionary share schemes and RNS announcements
- Maintaining and developing the Group’s governance framework, policies and procedures
- Support on delivery of the firm’s insurance program
- Ownership of the firm’s governance framework to deliver agile decision making
Experience and Qualifications
- Experience working within a UK listed company secretariat function preferable but not essential
- Strong knowledge of UK listed company regulation, corporate governance and company law
- Experience supporting Boards and Board Committees
- Experience managing Annual Reports and AGMs
- Track record of managing or mentoring small to medium-sized teams
- CGI qualified
- Sector experience within asset or wealth management is helpful but not essential
