Overview
We are currently supporting a wonderful NHS Foundation Trust on their search for an interim Company Secretary. This is a pivotal role within the Trust, reporting to the Chief Executive, acting as a key advisor to the Chair, Board, Council of Governors, Clinical Directorates and the organisation as a whole on all aspects of governance.
Please note that candidates should ideally be able to start in the role at relatively short notice if successful.
Key role and responsibilities
- Support the Chair in ensuring the Board of Directors and Committees are effectively constituted, operated, and governed.
- Implement and maintain a Board Assurance Framework and delegation scheme aligned with strategic objectives and risk management.
- Ensure Trust-wide compliance with governance best practices as per NHS England/Improvement and CQC standards.
- Provide Secretariat support to the Board, Committees, and Council of Governors, facilitating meetings, development sessions, and key governance processes.
Experience and Qualifications
- Previous experience in a senior governance/Board governance role
- Knowledge of NHS regulatory frameworks
- Experience providing analysis of competing views and communicating potentially highly contentious information to senior members of the board
- CGI qualification would be desirable, but not essential should the candidate be qualified by experience

- Excellent communication and interpersonal skills, interacting effectively at senior management/executive and Board Level
- Strong ability to build and sustain strong relationships with a range of internal and external stakeholders
- Strong analytical, critical thinking and problem-solving skills
