Head of Statutory Compliance and Governance Reporting – Listed Financial Services

We are recruiting for a Head of Statutory Compliance and Governance Reporting to support a listed financial services company through the next stage of their exciting transformation journey.

The key purpose of this role is to support the Company Secretariat function in delivering strong corporate governance across the organisation, ensuring statutory and regulatory compliance and effective support to the Board and its Committees.

The role will lead on compliance with relevant legal, regulatory and shareholder requirements, promote good governance practice across the business, and support senior corporate governance leadership in maintaining the highest standards of governance conduct.

Key Responsibilities:

  • Lead the department’s statutory and reporting compliance (including share plans) and subsidiary management workstreams.
  • Draft and circulate regulatory announcements to the London Stock Exchange
  • Contribute to the preparation of the Annual Report and AGM documentation
  • Act as Secretary to one or more Board Committees (primarily the Risk, and overseeing direct reports supporting Audit) and Management Committees.
  • Lead the administration of employee share plans
  • Line manage and coach nominated direct reports

Experience and Qualifications:

  • CGI qualified
  • Significant governance experience within a listed corporate secretariat function. Experience working in Financial Services is also desirable.
  • At least two years (or comparable) share plans experience is preferrable
  • Previous line management experience is required.

  • Strong stakeholder management skills.
  • Strong attention to detail and interpersonal skills.
  • Ability to work with the upmost discretion and integrity in a demanding, agile and fast paced environment.
