We’ve been instructed by a global maritime business who are seeking a Group Company Secretary to join the team reporting to the General Counsel in their offices in London – there is both an interim and perm requirement. This is a hugely significant role that will be responsible for the day-to-day administration of the group company which is headquartered in Monaco, and US listed entities which will involve quarterly travel. The group operate internationally, so they need someone comfortable dealing with multiple jurisdictions. You will deliver the AGM and review SEC related work, and also administer the company’s share incentive plan. Key Roles and Responsibilities
- Attend Board meetings for the group’s companies and advise senior leadership on all corporate governance matters
- Administer the public company’s equity incentive plan
- Prepare board of directors’ minutes and resolutions
- Handle the disclosure and filing requirements of the NYSE and the U.S. Securities and Exchange Commission (“SEC”)
- Organise AGM and EGM processes
- Manage and mentor an Assistant Company Secretary
Experience and Qualifications
- Ideally CGI qualified
- A minimum of eight years’ experience as a company secretary and or four years’ leading the company secretarial function.
- Experience in equity incentive plans.
- Experience in working in a public company, preferably listed on the NYSE.
