Overview
NewRiver REIT plc is a UK Main Market-listed Real Estate Investment Trust focused on owning and managing resilient, community-based retail assets across the UK.
As NewRiver has continued to evolve in scale and complexity, the governance function is being strengthened to support the Group’s next phase of development. The Group Company Secretary position is moving from a part-time to a full-time role, reflecting the widening scope, increased responsibility and growing strategic importance of the function.
This is an autonomous, standalone Group Company Secretary role at the heart of the business, offering close exposure to the Board, Committees and Executive team within a lean and collegiate organisation. The role will suit an experienced governance professional who enjoys operating with independence, judgement and genuine influence.
Key role and responsibilities
- Act as trusted adviser to the Board and its Committees on governance, regulatory and company secretarial matters
- Lead the planning and delivery of Board and Committee meetings, including agendas, papers and high-quality minutes
- Oversee the full Annual Report and AGM process, alongside ongoing UK listed company obligations
- Support the continued development and effectiveness of governance frameworks, policies and procedures across the Group
- Provide pragmatic, commercially minded governance advice to senior stakeholders
- Take ownership of the governance function, operating with a high degree of autonomy and accountability
Experience and Qualifications
- Proven experience as a Group Company Secretary or in a senior listed company secretarial role
- Strong technical knowledge of UK listed company governance and regulatory requirements
- Experience supporting corporate activity such as restructurings, simplification or capital projects is desirable
- Demonstrable experience advising Boards and senior executives
- CGI qualified (or equivalent experience)
