Overview

We have been instructed by an established financial services organisation on the appointment of a Company Secretary. Reporting to the CEO, this is a key governance role acting as principal adviser to the Board and its Committees, ensuring high standards of corporate governance and compliance with legal and regulatory requirements.

The successful candidate will work closely with the Chair, Board, Executive Committee and senior management, providing trusted advice on governance, regulatory and statutory matters and helping to ensure effective, transparent and well-documented decision-making.

Key Responsibilities

  • Act as Secretary to the Board, Board Committees and Executive Committee, overseeing meeting planning, agendas, papers, minutes and action tracking.
  • Maintain and enhance the organisation’s governance framework, advising the Board and senior stakeholders on governance, legislation, regulatory developments and best practice.
  • Oversee Companies House compliance, conflicts of interest, related party matters and regulatory applications for Directors and Senior Management Functions.
  • Lead Board effectiveness reviews and support Director recruitment, induction, succession planning, skills development and training, as well as shareholder and general meetings.
  • Work with Finance, Risk and Compliance and other teams on regulatory and narrative reporting, governance projects and wider Group and cross-functional matters.

What We’re Looking For

Skills & Experience

  • Fully qualified Company Secretary or appropriately legally qualified.
  • Significant company secretarial or governance experience within regulated financial services.
  • Strong understanding of corporate governance and, ideally, the UK banking sector and its regulatory framework.
  • Experience working effectively with Boards, regulators and senior executives.
  • Excellent organisational, planning, written and verbal communication skills, with strong attention to detail.
  • Comfortable working independently or as part of a small team in a fast-paced environment.

Personal Attributes

  • Exceptional governance judgement, with a pragmatic and action-oriented approach.
  • Strong interpersonal and influencing skills, with the ability to build trusted relationships at all levels.
  • High levels of integrity, independence and discretion, with the ability to handle sensitive matters.
  • Proactive, collaborative and flexible, with a commitment to excellence and continuous development.

Why This Role

This is an excellent opportunity for an experienced governance professional to take a senior, high-impact Company Secretary role within a regulated financial services environment. The position offers broad exposure to Board and Executive governance, regulatory matters and senior stakeholders, with the opportunity to shape and further develop the organisation’s governance framework.
