Company Secretary – Mutual Financial Services Organisation

£Market rate + bonus and benefits, Largely remote, with attendance at Board meetings

Overview

A well-established, community-focused mutual financial services organisation is seeking to appoint a Company Secretary to take on a senior, trusted governance role supporting the Board, Committees and Executive leadership.

This is a newly created, permanent position, reflecting a deliberate move to strengthen governance and provide greater continuity and stability at Board level. The organisation has around 200 employees, operates from a single UK head office, and is known for its people-centred culture and strong sense of purpose within the communities it serves.

The role will report to the Chief Executive, with a direct reporting line to the Chair, and will take ownership of Board and Committee governance, as well as responsibility for the Executive Committee. Administrative support will be in place.

This is a high-trust, relationship-driven role, well suited to an experienced governance professional who values quality, judgement and proportionate governance over pace or volume.

Key role and responsibilities:

  • Act as trusted adviser to the Chair, Board, Committees and Executive team on governance, statutory and regulatory matters
  • Lead the planning and delivery of Board and Committee meetings, including agendas, papers, minutes and actions
  • Take ownership of the Executive Committee governance framework, ensuring consistency and effectiveness
  • Ensure compliance with relevant statutory and regulatory requirements applicable to a regulated mutual environment
  • Maintain statutory registers, declarations of interest and governance records
  • Support Board induction, development and ongoing Board effectiveness reviews
  • Help embed strong, proportionate governance practices aligned to the organisation’s values and culture

Experience and Qualifications:

  • Proven experience in a senior company secretarial or governance role, ideally within financial services or a regulated environment
  • Strong Board and Committee exposure, with confidence advising at Chair and Board level
  • Sound understanding of governance, statutory compliance and regulatory frameworks
  • CGI qualified (or equivalent experience) preferred
  • Mutual or building society experience desirable but not essential

  • Comfortable operating in an autonomous role with significant trust and responsibility
  • Calm, credible and measured in a Boardroom setting
  • Pragmatic, thoughtful and solutions-focused
  • Highly organised with strong attention to detail
  • Values-led, with a genuine interest in supporting good governance and long-term organisational stability
