Assistant Company Secretary – Financial Services

We have been instructed by a leading financial services organisation to appoint an Assistant Company Secretary to join its UK Corporate Governance Office. The role will provide high-quality governance support across a Board-level Committee and subsidiary boards, with responsibility for a portfolio of legal entities.

This is a senior governance role, offering the opportunity to work closely with Board members and senior management while providing advice on statutory compliance, governance requirements and regulatory developments.

 

Key Responsibilities

  • Run a Board-level Committee and subsidiary boards, including meeting preparation, minute taking and action tracking.
  • Take responsibility for a portfolio of subsidiary legal entities and oversee compliance with the Subsidiary Governance Framework.
  • Contribute to the annual report and financial statements programme.
  • Provide advice on statutory compliance, governance best practice, internal governance requirements and relevant legislative developments.
  • Build strong relationships with Board members and senior management.
  • Line manage and support the development of junior members of the Corporate Governance Office.

 

What we’re looking for

Skills & Experience

  • Practical knowledge of corporate governance, including the Companies Act 2006, UK Corporate Governance Code, PRA/FCA governance requirements and Listing Rules.
  • Experience running a Board-level Committee and working within a busy corporate governance or secretariat function.
  • Experience working in a regulated environment, ideally financial services.
  • Experience contributing to an annual report and financial statements programme.
  • Affiliate, Associate or Fellow membership of the Chartered Governance Institute, or equivalent.
  • Excellent written communication and minute-writing skills, with strong attention to detail.
  • Strong organisational skills and the ability to manage competing priorities and deadlines.

  • Positive, collaborative and able to build effective relationships at all levels.
  • Strong stakeholder management and diplomacy skills.
  • Able to mentor and develop more junior team members.
  • Line management experience would be advantageous.
