Mobilize Financial Services is seeking an experienced Company Secretary to join its legal team. Reporting to the General Counsel, this is a pivotal governance role, providing trusted advice to the Board and senior stakeholders while ensuring the organisation continues to uphold the highest standards of corporate governance and regulatory compliance.
Key Responsibilities
- Plan and deliver the annual cycle of Board, Committee and selected Executive Committee meetings, including agenda planning, Board papers, procedural support, accurate minutes and action tracking.
- Maintain and develop the corporate governance framework, ensuring compliance with the Companies Act 2006, PRA and FCA requirements, SM&CR and corporate governance best practice.
- Act as the key governance contact for regulators, supporting regulatory interactions, Board and Committee effectiveness reviews, governance documentation, Board composition and succession planning.
- Maintain statutory registers, Companies House filings and corporate records, working closely with the General Counsel on corporate transactions, restructurings and other company secretarial matters.
- Provide trusted governance advice to the Chair, Board and senior leadership, while coordinating Director induction, ongoing development, succession planning and regulatory approval documentation.
- Champion the effective use of Board portals and other digital governance tools, ensuring high standards of confidentiality, information security and record keeping.
What We’re Looking For
- An experienced Company Secretary or senior governance professional with significant experience supporting Boards and Committees within a UK regulated financial services environment.
- Strong knowledge of the Companies Act 2006, UK corporate governance principles and PRA/FCA governance requirements, including SM&CR.
- Proven experience producing high-quality Board papers, minutes and governance documentation, with the confidence to advise senior stakeholders at Board level.
- Excellent drafting, organisational and stakeholder management skills, alongside sound judgement, integrity and discretion.
- Chartered Governance Institute qualification or equivalent is strongly preferred.
- Experience within a bank, deposit taker or other prudentially regulated organisation, together with exposure to regulatory interactions or supervisory reviews, would be advantageous.
