Director of Group Governance Framework and Assurance (12 month FTC) – High Profile Charity

 A rare opportunity to work as Director of Group Governance Framework and Assurance (on a 12 month FTC) for a fantastic purpose-driven charity with a strong social cause. This is a senior, high-impact role responsible for shaping, refining and embedding a coherent, proportionate and effective governance framework across a multi-entity group structure, including both UK and international operations. Working closely with Executive leadership and Board-level stakeholders, the successful candidate will lead a structured governance transformation programme, delivering practical improvements while building longer-term governance capability across the organisation. Key Roles and Responsibilities

  • Develop and embed a fit-for-purpose governance framework, including minimum standards, proportionate application and assurance processes.
  • Clarify and formalise decision rights, accountability structures and escalation protocols across group entities.
  • Strengthen reporting lines and communication channels between subsidiary boards, committees and the main Board.
  • Document and embed an oversight mandate and establish formal escalation procedures, including clear materiality thresholds and “no surprises” triggers (e.g., safety, reputation/brand, compliance, financial and operational).
  • Support the embedding of governance into culture through targeted training and improved access to and use of cultural metrics.

Experience and Qualifications

  • Significant experience in corporate or group governance, ideally within complex, multi-entity or international organisations.
  • A strong track record of leading governance transformation or change programmes.
  • Excellent stakeholder management skills, with the ability to influence and challenge at senior levels.

  • Strategic thinker with a pragmatic, proportionate approach.
  • Strong programme and project leadership capability.
  • Excellent written and verbal communication skills, including board-level documentation.
  • Ability to operate effectively in complex and ambiguous environments.
  • Proven ability to build trusted relationships and drive change across diverse stakeholder groups.
