Overview
Our client, a renowned pension provider, is seeking an experienced Corporate Governance Manager to join their team on a 12-month fixed-term contract. Reporting to the Head of Corporate Governance, this role will play an important part in supporting the governance and administration of multiple entities within the organisation. This is a great opportunity for a governance or company secretarial professional to work closely with senior stakeholders, including board and committee members, while ensuring strong governance processes and statutory compliance across the business. Key Responsibilities
- Coordinate and support Board and Committee meetings, including managing calendars, preparing agendas and board packs, and taking accurate minutes with follow-up of actions.
- Maintain statutory registers and ensure compliance with company secretarial requirements, including annual filings and confirmation statements.
- Prepare documentation and filings relating to corporate changes such as director appointments, registered office changes and other statutory updates.
- Support the preparation of governance briefings and research relating to regulatory or corporate governance developments.
- Act as a key point of contact for Board members and internal stakeholders, supporting governance processes and ensuring high standards of administration.
Experience & qualifications
- Experience in a corporate governance, company secretarial or corporate legal function.
- Strong knowledge of the UK Companies Act, corporate governance frameworks and best practice.
- Solid experience taking accurate minutes and capturing key decisions and actions.
Personal qualities & behaviours
- A team-player who can also work well autonomously
- Excellent organisational skills with strong attention to detail
- Ability to manage multiple priorities.
