Overview
A well-established international financial services group is seeking an experienced Deputy Company Secretary to join its Group governance function.
Operating across multiple jurisdictions with a complex legal entity structure, the organisation requires a technically strong and commercially aware governance professional to support the ongoing delivery and enhancement of its company secretarial framework.
This role offers breadth, visibility and long-term progression within a collaborative and supportive environment.
Key role and responsibilities
- Act as Company Secretary for a portfolio of UK and overseas entities
• Oversee the annual cycle of board and committee meetings, including agenda planning and governance support
• Prepare high-quality, clear and concise board and committee minutes
• Support Chairs and directors in fulfilling their statutory and governance responsibilities
• Maintain oversight of statutory compliance and legal entity management across relevant jurisdictions
• Liaise with overseas service providers where appropriate
• Contribute to the continuous improvement of governance processes and controls
• Support junior team members and promote best practice within the function
Experience and Qualifications
- Chartered Governance Professional (ACG/FCG) or qualified solicitor with substantial governance experience
• Strong knowledge of the Companies Act 2006 and UK governance requirements
• Proven experience servicing Boards and Committees within a regulated or complex environment
• Experience operating across multi-jurisdictional entity structures
• Excellent minute-writing skills with the ability to balance technical accuracy and commercial awareness
• Experience within financial services, insurance or banking is desirable
